In short

From the Netherlands, most Indian legal work can be done without travelling. A private document is signed before a Dutch notaris or the signature is legalised at the municipality, and the district court (rechtbank) issues an apostille, which India accepts. Dutch companies use the same route for board resolutions and Chamber of Commerce extracts. The original is couriered to India, stamped where the law requires, and used by your lawyer, attorney holder or the Indian company.

Who we help in the Netherlands, and with what

Dutch capital has been flowing into India for decades, both from Dutch operating companies in agri-food, logistics, water engineering, healthcare technology and semiconductors, and from international groups that hold their Indian investments through Dutch holding companies. Venture and growth funds based in Amsterdam also invest in Indian startups. On the personal side, thousands of Indian engineers and IT specialists work in Amsterdam, Eindhoven, Rotterdam and The Hague under the highly skilled migrant scheme, and the Surinamese Hindustani community, descended from labourers who left Uttar Pradesh and Bihar in the nineteenth century, has deep roots in the country.

The work that follows is mostly corporate and financial: Indian subsidiaries, FEMA reporting on inbound investment, startup term sheets, employment documents for Indian teams and the Indian tax affairs of Dutch residents who still own property or savings in India.

How documents are signed and legalised in the Netherlands

Both countries are parties to the Apostille Convention and it is in force between them, so no Indian Embassy attestation is needed. A private document such as a power of attorney is signed before a notaris, who legalises the signature, or in suitable cases the signature is legalised at your gemeente. The apostille is then issued by a rechtbank, the district court, which can be done in person or in many cases by post.

Dutch corporate documents, such as an extract from the Kamer van Koophandel (Chamber of Commerce) register and a resolution of the board, are handled in the same way. Prepare them in English, which Dutch notaries are generally comfortable with, and avoid Dutch-only papers that would need translating in India. Our apostille and attestation page explains what Indian offices check on arrival.

Most requested services from the Netherlands

These six services account for most requests from the Netherlands, which reflects its role as one of India's leading sources of foreign investment.

Tax treaty and money flows between the Netherlands and India

India's tax treaty with the Netherlands has long been important to investors, particularly its capital gains and dividend provisions and the protocol that refers to lower rates agreed by India with other OECD countries. In 2023 the Supreme Court of India decided that such a most favoured nation benefit operates only once India notifies it, which changed the dividend calculations of many Dutch-held structures. The multilateral instrument and India's general anti-avoidance rules also mean that a Dutch holding company needs real substance to rely on the treaty.

For individuals, the Netherlands taxes residents on worldwide assets, so Indian property and bank balances usually belong in the Dutch return, while Indian rent and interest are taxed in India first. A Dutch tax residence certificate and Form 10F support treaty claims in India. Money leaves India through NRO repatriation, up to USD 1 million per financial year with Form 15CA and 15CB. Our NRI income tax page covers the Indian filing.

Family law and Dutch court orders in India

The Netherlands is not a reciprocating territory under section 44A of the Code of Civil Procedure. A judgment from a Dutch court is therefore not executed directly in India; it supports a fresh suit, and the Indian court applies section 13 to test jurisdiction, natural justice and the merits basis of the decision. Dutch investors usually avoid the issue by choosing arbitration, often seated in Singapore, London or The Hague, because awards from notified New York Convention countries are enforceable in India.

A Dutch divorce for a couple married in India is recognised in India only where it rests on a ground available under the law of the marriage and the other spouse submitted to the Dutch court. Dutch divorce on irretrievable breakdown alone can raise questions for a Hindu Marriage Act marriage, so take advice before dealing with Indian property or remarrying. India has not joined the Hague Child Abduction Convention.

Practical points for clients in the Netherlands

The Netherlands follows Central European Time, so India is three and a half hours ahead in summer and four and a half in winter. Morning calls in Amsterdam suit Indian afternoons, and Indian registries, banks and courts generally close before Dutch working days end, so we send end-of-day updates that arrive during your afternoon.

Corporate filings in India are electronic and use digital signatures, so Dutch directors rarely need to travel. Physical originals are still needed for some bank and stamping steps; send them by tracked courier and keep scans. Indian courts allow video evidence in many matters, which is useful for Dutch-based witnesses and founders.

Frequently asked questions

Who issues apostilles in the Netherlands?

The district courts (rechtbanken) issue apostilles on Dutch public documents and on private documents whose signatures a notaris or municipality has legalised. India accepts them without Embassy attestation.

Can a Dutch BV be the sole investor in an Indian company?

Yes, in most sectors under the automatic route. Because an Indian private company needs two shareholders, a second group entity or nominee usually holds one share.

Is a Dutch court judgment enforceable in India?

Not directly. The Netherlands is not a reciprocating territory, so a fresh suit in India is required. Arbitration awards from New York Convention countries notified by India are easier to enforce.

Does India's tax treaty with the Netherlands still reduce dividend tax?

The treaty rate applies, but the lower rate many investors claimed under the most favoured nation protocol depends on Indian notification after the 2023 Supreme Court ruling. Check the current position for your structure.

Do I need to report Indian property to the Dutch tax authorities?

Generally yes, as Dutch residents are taxed on worldwide assets. Ask your Dutch adviser how Indian property is treated in your return; we handle the Indian side.

Can a Dutch fund invest in an Indian startup without a local entity?

Yes. Foreign investors can subscribe directly to shares or compulsorily convertible instruments of an Indian company, subject to FEMA pricing and reporting rules.

Can I sign documents for India at the Embassy in The Hague?

The Embassy offers some attestation services, but because the apostille is in force, signing before a notaris and obtaining an apostille from the rechtbank is the usual and widely accepted route.

Does ProudLegal have an office in the Netherlands?

No. We work from Mohali in India and serve Dutch clients remotely through video calls, email and electronic filings, scheduled around Dutch working hours.
