Power of attorney signed abroad for use in India

A power of attorney lets someone in India sign, file and appear for you while you stay abroad. Signed wrongly, it is the single most common reason property deals and court cases stall. We draft it for the exact task, tell you how to sign it in your country, and get it stamped and accepted in India.

Power of attorney executed abroad for use in India, notarised and apostilled or attested at the Indian embassy
Quick answer

A power of attorney signed outside India can be used in India if it is authenticated as section 33 of the Registration Act 1908 recognises: before an Indian embassy or consulate officer, or before a notary public of that country, with an apostille in Hague Convention countries. Once it reaches India it must be stamped under the state stamp law within three months of receipt. For property sales, a specific power of attorney is safer than a general one.

Specific or general power of attorney?

A specific (special) power of attorney authorises named acts: selling flat number 402 to a buyer at a stated price, appearing in a named court case, or collecting a deposit from a named bank. A general power of attorney authorises a range of acts, often for all your property and affairs.

We almost always recommend specific powers. Sub-registrars, banks and courts examine the wording closely and refuse to act where the power does not clearly cover the task. A general power also exposes you more: your attorney can bind you in transactions you never intended, and family disputes over misuse of general powers are a regular part of our practice. If you need ongoing management, give a general power for management (rent, tax, repairs, mutation) and a separate specific power when a sale is actually agreed.

A power of attorney ends on your death or mental incapacity, and on revocation (section 201 of the Indian Contract Act). It cannot be used to transfer property after you die; that needs a will or succession.

How to sign it in your country

OptionHow it worksNotes
Indian embassy or consulateYou sign before the consular officer, who attests the documentAccepted everywhere in India; needs an appointment, often through the mission's service provider
Local notary plus apostilleSign before a notary public, then obtain an apostille from your country's competent authorityAvailable where both countries are parties to the Apostille Convention (for example USA, UK, Canada, Australia)
Notary plus legalisationNotary, your foreign ministry, then Indian mission attestationNeeded in non-Apostille countries such as UAE, Qatar and Kuwait

Section 33(1)(c) of the Registration Act recognises powers authenticated by a notary public, a court, judge or magistrate, or an Indian consul or vice-consul. In practice, some sub-registrars in some states still prefer the consular route for property sales, so we check the specific office before you book an appointment. Attach photographs and copies of your passport and OCI card, and sign every page.

Stamping and registration after it arrives

Stamp duty on a power of attorney is fixed by the state where it will be used. Under the Indian Stamp Act and state stamp laws, an instrument executed outside India may be stamped within three months after it is first received in India, usually by presenting it to the Collector of Stamps for adjudication and paying the duty. Miss the window and you face a penalty that can be several times the duty.

  • A power to manage property or appear in court usually attracts a modest fixed duty.
  • A power to sell immovable property, especially to a person outside the immediate family or for consideration, attracts much higher duty in many states, sometimes close to conveyance duty.
  • Registration of a power of attorney is optional under central law, but several states require powers to sell immovable property to be registered, and sub-registrars often expect a registered or adjudicated power before accepting a sale deed signed by the attorney.

Under section 32A of the Registration Act, the attorney holder who presents a sale deed is photographed and fingerprinted in India; you do not need to be present.

What a power of attorney cannot do

Many families still "sell" property by handing over a general power of attorney, an agreement and a will. In Suraj Lamp and Industries v. State of Haryana (2011) the Supreme Court held that such SA/GPA/Will transactions do not transfer title to immovable property. Property is transferred only by a registered deed of conveyance. A buyer holding only a GPA is not the owner and cannot obtain mutation as one.

If you are selling through an attorney, the attorney must execute a registered sale deed in your name. If you once gave a relative a general power over the property and want to stop its use, revoke it in writing, notify the attorney, the sub-registrar and any party likely to deal with it, and if possible register the revocation. Choosing the right attorney holder

Pick someone who is in India, trustworthy, and practically able to visit offices. For court cases, the attorney holder can file and depose on matters within personal knowledge, but cannot give evidence of facts only you know. Courts may still want your own evidence by video. For bank and tax matters, banks and the income tax portal may insist on your own digital involvement, such as OTPs or a signed form.

Wherever possible, limit the power by time and purpose, require the sale price to be paid into your NRO or NRE account, and ask for copies of everything signed. We can act as your attorney's legal team in India so that nothing is signed without review. If you are buying, see title due diligence first.

Using a power of attorney for banks, tax and court cases

Property is not the only reason clients abroad need an attorney in India. Each kind of institution has its own expectations.

  • Banks: most banks have their own mandate or power of attorney format for NRE and NRO accounts and will not act on a general document. Ask the branch for its form first, and expect the bank to restrict the attorney from repatriating funds abroad or opening new accounts in your name.
  • Income tax: a representative can be authorised on the income tax portal for limited purposes, but returns are normally verified by the taxpayer, often with an OTP sent to your registered mobile. Keep your Indian mobile number active or update it before you leave.
  • Property sale proceeds: the buyer must deduct tax at source when buying from a non-resident. The attorney should be authorised to apply for a lower deduction certificate and to receive the price only into your NRO account, from which remittance abroad needs Form 15CA and 15CB.
  • Court cases: a power of attorney lets the holder sign pleadings, engage lawyers and attend dates. Under Janki Vashdeo Bhojwani v. IndusInd Bank (2005), however, the attorney cannot give evidence on facts known only to you. Plan for your own evidence by video or on a visit.

Revoking or replacing a power of attorney

Relationships change. If you no longer trust the person holding your power, act quickly. Sign a deed of revocation, authenticated in the same way as the original, and send it to the attorney by registered post and email. Where the original power was registered, register the revocation with the same sub-registrar so that it appears in the record searched by buyers. Write to banks, the housing society and any office where the attorney has acted. A power coupled with an interest, for example one given to a buyer who has paid the price, may not be revocable at will (section 202 of the Indian Contract Act), so take advice before revoking one.

Mistakes we see every week

  • Using a downloaded template that does not describe the property or the transaction.
  • Signing before a foreign notary in a non-Apostille country without legalisation.
  • Missing the three-month stamping window.
  • Names that do not match the passport, title deed and PAN.
  • Giving a power to sell to one sibling over property owned jointly by all siblings, without the others joining.
  • Assuming an old power is still valid after the principal has died.

To draft the power of attorney, send:

  • Your passport and OCI card or Indian passport

Frequently asked questions

Can I sign a power of attorney for India before a local notary?

Yes, with an apostille if your country is a party to the Apostille Convention. Otherwise it needs legalisation and Indian mission attestation.

Is an Indian embassy attestation still needed if I have an apostille?

Not in law. Some offices prefer consular attestation, so we check the local practice first.

How soon must the POA be stamped in India?

Within three months of its first receipt in India, under the state stamp law.

Must the power of attorney be registered?

Not always. Several states require registration for powers to sell immovable property.

Can my attorney sell my property?

Yes, if the power specifically authorises it. The attorney signs a registered sale deed on your behalf.

Does a GPA give the buyer ownership?

No. Under Suraj Lamp, only a registered conveyance transfers title.

Can I revoke a power of attorney from abroad?

Yes, by a written revocation signed and authenticated the same way, notified to the attorney and the offices concerned.

Is the POA valid after my death?

No. A power of attorney ends on the principal's death.

Need a POA that will be accepted first time?
