An NRI in Oman can invest in an Indian company or LLP on a repatriation basis, treated as foreign investment with pricing and reporting rules, or on a non-repatriation basis, treated like domestic investment. We review the business, negotiate rights that protect you while in Oman and make sure FEMA filings are completed so your money can come back.

Legal Advisory for NRI Investors from Oman: how it works
We begin by understanding the business and your plans. Due diligence covers the company's MCA filings, capital history, charges, litigation, GST and tax compliance, and ownership of key assets. Where you invest through an Omani company rather than personally, the investment becomes foreign direct investment by that company, which changes the documents and reporting; we explain the trade-offs before you decide.
Your rights go into the shareholders agreement and articles: monthly or quarterly accounts, consent over new shares and large borrowings, a board or observer seat with video meetings, pre-emption and exit rights, and arbitration seated in India with online hearings. Repatriable funds come from Oman by bank or from your NRE account, and the company reports the allotment on Form FC-GPR within 30 days. After the investment, we can review annual accounts and board proposals for you each year, so that a plan to issue new shares or take on large loans does not catch you by surprise while you are in Oman. If you later return to India, we also plan how your holding is re-designated.
What clients in Oman should know
- Investing through an Omani company may suit a trading group, but beneficial ownership rules and the India-Oman treaty should be considered.
- Agricultural, plantation and real estate trading businesses are closed to NRI investment under both routes.
- Dividends from Indian companies are taxed in India.
