In short

To register an Indian company from Poland, you need two directors, at least one meeting the Indian 182-day residency rule, and two shareholders. Foreign individuals provide passport and address proof notarised and apostilled in Poland; a Polish company shareholder provides a KRS extract and board resolution, apostilled by the Polish Ministry of Foreign Affairs and translated into English. The company is incorporated through SPICe+, usually within two to four weeks of complete documents.

Company Setup for Foreigners from Poland: how it works

We agree the name, capital, shareholding and a resident director, then arrange digital signature certificates for the foreign directors through online verification. Individuals in Poland sign declarations and subscriber sheets before a notariusz, who certifies the signatures, and the documents are apostilled. Address proof such as a Polish residence registration or bank statement must be recent. For a corporate shareholder, the KRS extract and a resolution of the management board naming an authorised signatory are needed, with English translations of anything in Polish.

In India we file SPICe+, AGILE-PRO and the incorporation forms, obtain PAN and TAN, and open the bank account. Foreign shareholders' capital must come through banking channels, with shares allotted within 60 days and Form FC-GPR filed within 30 days of allotment. Watch the annual FLA return, board meetings, and statutory audit. Founders who are Indian citizens living in Poland are non-residents under FEMA, so their investment is also reported as foreign investment unless made on a non-repatriation basis.

What clients in Poland should know

  • Polish KRS extracts printed from the online register can be apostilled; confirm with the Ministry which form of extract it will accept.
  • A Polish sp. z o.o. owning an Indian company triggers transfer pricing and treaty questions on any service fees between them.
  • Indian founders living in Poland can choose to invest on a non-repatriation basis, which simplifies FEMA reporting but limits taking money out later.
